New Composition of the Hansgrohe Supervisory Board

Hansgrohe SE: New Masco Corporation and Employee Representatives Appointed to the Supervisory Board

Schiltach, May 2025. At the Annual Shareholder Meeting of Hansgrohe SE on May 15, 2025, two new members were appointed to the Supervisory Board. The composition of the Supervisory Board on the part of the majority shareholder Masco is changing due to the departure of long-standing Supervisory Board member Keith Allman (President and CEO of Masco Corporation), who is retiring. “On behalf of the entire Supervisory Board, I would like to thank Keith Allman for his more than 12 years of tireless commitment to the Supervisory Board of Hansgrohe,” says Klaus F. Jaenecke, Chairman of the Supervisory Board. “The trusting and cooperative partnership with Masco, which has existed since 1985, has contributed to the Hansgrohe Group's excellent development over the past four decades. In his role as a member of the Supervisory Board, Keith Allman has made a significant contribution to this, not only with his proven expertise, but also with his strong personality. We wish him all the best for his retirement.”

Jonathon J. Nudi has been appointed as his successor. He will succeed Allman as President & CEO of Masco Corporation on July 7, 2025. “With Jonathon J. Nudi, we welcome a competent and experienced representative of our majority shareholder to the Hansgrohe Supervisory Board. We look forward to working with him,” adds Klaus F. Jaenecke.

There was also a change with regards to the employee representatives. Hülya Inciroglu will join the Supervisory Board as a member based on the election of employee representatives on April 26, 2022, since Matthias Dittmann is stepping down from the Supervisory Board. “The entire Supervisory Board would also like to thank Matthias Dittmann for his commitment over the past three years and the constructive cooperation,” explains Klaus F. Jaenecke, Chairman of the Hansgrohe Supervisory Board. “With Hülya Inciroglu, we have gained an experienced member of the Works Council for our committee, and we look forward to working with her.”

Richard Grohe, grandson of company founder Hans Grohe and member of the Supervisory Board, was re-elected by the Annual General Meeting to represent Verwaltungs- und Beteiligungs-GmbH Syngroh on the Supervisory Board after his term of office expired. The other members of the Hansgrohe Supervisory Board also remain unchanged: Klaus F. Jaenecke (Chairman), Jai Shah (Deputy Chairman/Group President, Masco Corporation) and Jürgen Nähr (elected employee representative, Hansgrohe SE).
